What are you guys doing (if anything) to study Dodd-Frank? It's not covered in the Wiley book or TB. The extent of what I've seen outside of the CSO is in the Ninja Flashcards. Thoughts?
May 20, 2013 at 8:56 pm #415707SeattleAccountantMember@benkdevries,
Dodd-Frank is covered by Becker but somewhat briefly and was covered in my undergrad but again nothing solid just some guidelines. Thus, basically all I know right now is that this act deals with issues of “too big to fail”, no federal assistance (beyond FDIC insurance) to failing banks, increased reserve amounts, decreased amounts that can be hedged, big banks must undergo supervised “stress test” by feds, etc. Most of these things deal with systemic risk.

I rewrote the Ninja notes, combined them into mine. I've read them all over a gazillion times. The audio keeps teaching me something new every time I listen to it, which is a scary thing.
I'm working a half day tomorrow. I guess I'll redo missed multiple choice questions and Becker sims. Wiley is getting to me. The font is too small. I wish they'd increase the size or put in an option to zoom in. Also, the boxes to enter data aren't big enough, scrolling back and forth to figure out what I'm working on is a pain. Ok, done complaining. Truly, the content is really good, just the software is difficult to use and I'm real tired of studying.
I found a really good explanation of 291 here: https://www.another71.com/cpa-exam-forum/topic/section-291-answer, thanks broadstreet!
Night guys.

Waiting on the packet....May 21, 2013 at 12:25 pm #415712AnonymousInactiveThank you, Wendy. So good to hear from you! I hope you are doing things you enjoy.
I got up right at 5am today and began reading the notes again. They're going faster now that I've paired them down, got through all of them before I left for work.
I feel like I've studied more for this one than any of the others. Although, maybe I'm just tired from the last four years of studying. I hope so much this is enough and I can put the CPA Exam behind me. I'm ready for a break.
May 21, 2013 at 1:23 pm #415713wsurfersMemberI just want to make sure I understand corporate taxation basis etc. because I think this is the topic that caused me to get a 74 and then a 73 the last two times I took Regulation:
Shareholder:
Gain Realized: FMV asset – Basis received
Gain Recognized: Lesser of Gain Realized or Boot Received
Basis: Adjusted Basis Less Liability Assumed OR if less than 80% ownership FMV – Basis
Corporation:
Basis for asset contributed: Adjusted Basis + Cash Contributed in same transaction (+ gain recognized by shareholder?)
I'm sorry if this is confusing anybody – I just want to get these rules straight and can't seem to find a straight answer. If any (or all lol) of this is incorrect, please let me know.
Thanks!
May 21, 2013 at 4:36 pm #415714MCLKTParticipant@wsurfes – There are different rules for basis of a contribution from Corp to Shareholder v. when Shareholder exchanges property for stock.
Shareholder basis in stock for transferred property =
Adjusted Basis + Gain recognized – Liabilities assumed by Corp (boot received)
If the shareholder owns 80% of corp. after exchange of property for stock, there is no Gain/Loss and the adjusted basis of the property is equal to the stock basis. If >20% stock was exchanged for SERVICES all shareholders have taxable event.
Corp Basis in property received from shareholder in exchange for stock =
Adjusted Basis + Gain recognized by shareholder.
*Gain is only recognized by shareholder if Boot is received or the Liabilities assumed > Adjusted Basis ‘
When a Corp distributes assets to shareholders the Corp treats the distribution like it sold the assets for FMV.
It will recognize a gain if FMV – Basis is positive. No loss is allowed.
If liabilities are assumed by the shareholder, there could be a gain for the corp, if the liabilities assumed are > Basis.
The shareholder basis is: FMV + Cash received.
Liabilities assumed do not change the shareholders basis in a distribution.

Hi REG family! How is everyone doing? Hopefully progressing along and ready for this section.
I'm getting REG blues lately. Although progress testing results are range from good to excellent, REG is starting to wear me out. I'm officially so sick of studying, literally want to puke now..to top it off, the eye twitch returned today 🙁
There are still materials that have to be reviewed once more: R6-R8, AICPA released stuff and 2 Becker Finals. All of the remaining days got tasks assigned but I feel at times working like a machine….and get some apathetic and just don't care anymore. Absolutely can not wait to take this test and forget about it although waiting for the results will be a journey of its own.
Wishing everyone luck while studying & taking the exam as I probably not going to post much or at all during this last week just prior to the exam. See you all in exam scores forum and most importantly, in “I passed REG” forum!
GOOD LUCK to all of us.
