    Getting close to game time. Feeling all over the place. Trying to look through some blaw notes as I feel I too forget the little details after not looking at them for a while. Ughh I cant fit much more into my brain!!!

    @funtiks. I got out from reg earlier. Pissed off. I spent much time studying BL but i only got few of them similar to ninja mcq. I had plenty tax calculations. 2 research Sim but wasnt able to get the correct section. 4 sims were all about taxation. No BL sim.

    @Lauren – I wanted to take this time to give you a personal shout out. Not to sound creepy at all, but here it goes. lol. Twinny, my love, my CPA companion, partner in crime.. We have chatted for over a year now, almost like an online dating website for best friends who are taking their CPA exam together. We clicked on so many levels and it makes me happy just to see you posting on the board. :)))) We basically had the same score in AUD and FAR, and then I took 6 months off between FAR and BEC and somehow we still ended up together in REG, this is how I know it was meant to be. <333

    LOL, okay okay, I'll stop. But in all seriousness, Lauren, I wish you the best of luck tomorrow. You are an amazing person, by means of cheering everyone on, giving people pointers and laughs, and teaching people how to do certain problems and understanding core concepts with the REG material. It's refreshing to know that people like you exist (even if we are so far away – we would have been awesome shopping and bar hopping buddies, haha). Never doubt yourself… this is something you and I both learned in FAR with mamabear, teetee, how many, MustPass/Amanda, kanada, and so many others. We must do the same for this exam too. I know you'll do great! Just keep the faith. I'll say a prayer for you tonight as well. 🙂 Good luck!!

    Thank you futureninja, you too! You are really close so I am sure next time you will get there. Just keep practicing questions, I think that is the best bet for BEC.

    Gabe, I am looking again at the SIM we talked about the other day and there is one like this as well in Becker. It looks like even though the Section 179 is not allowed in year one because there is a loss, the assets depreciable basis is still subtracted by the $25,000 and I am assuming this is because Sec 179 is carried forward to the next year so it still gets the benefit…it is still confusing but I think if we just remember that rule then it makes sense(ish).

    Hello Future CPAs,

    Well, I performed horrible on both Becker practice exams today – in the low 60s. Talk about discouragement. I was usually able to narrow down my answer to two, but ended up making the incorrect choice. I find REG to be so tricky. As a wise man once said: “Don't let today sabotage your tomorrow.”

    I performed relatively well on the BLAW MCQs, but I believe that it was based on short-term memory, because I went through 4 chapters of BLAW in less than 2 weeks. Don't feel I did so hot today.

    I feel like there is so much I know and so much I don't know – if that makes sense?

    Well, I know we're getting down to the final days, so I wish everyone the best of luck and may God be with us! May He give us peace of mind and help us to focus and keep us from all distractions. May He give us insight that we might understand what we're studying and help us to remember when the time comes. Amen!

    Q: Mr. Oleaner owns 600 shares of the voting stock of Clarkson Corporation. The remaining 350 shares of the voting stock outstanding are held by persons unrelated to Mr. Oleaner. Mr. Oleaner wants a proposed redemption of part of the stock to qualify under IRC Sec. 302(b)(2). What is the maximum number of shares that Mr. Oleaner can own after the redemption to qualify as a sale or an exchange?

    A. None of the answers are correct.

    Answer (C) is correct.

    Sec. 302 determines whether a redemption is considered a distribution equivalent to a dividend or payment for the stock eligible for capital gain or loss treatment. Under Sec. 302(b)(2), a substantially disproportionate redemption qualifies for capital gain or loss treatment. For a redemption to be substantially disproportionate, the shareholder must own less than 50% of all outstanding voting stock immediately after the redemption, and his or her total percentage of ownership must be less than 80% of his or her ownership percentage immediately before the redemption. Mr. Oleaner holds approximately 63% (600 ÷ 950 shares) of the stock before the transfer and, if he holds 349 shares, he meets the 50%-ownership rule (349 ÷ 699 = 49.9%). The second requirement is also met because ownership after the redemption is less than 80% of the percentage ownership immediately before the redemption (80% × 63% = 50.4%; 49.9% < 50.4%). Thus, the redemption is substantially disproportionate and is considered a sale.

    This is a multiple choice from gliem. I understand the 80% rule but for the 50% rule where are they coming up with the 699 for the 50% rule 349/699?

    BEACPA – Thank you and good luck to you as well. I think it is normal to feel the way you are (at least I know I am). There is a lot of information for this exam and the closer it gets the less I feel I know! I am testing tomorrow so have looked over as much as I can today and hopefully it is enough, we can only do what we can handle and I know we will get there. Good luck and prayers to you as well!
