Hi everybody,

Can you help me regarding where can i find what items are typically included in the corporate bylaws and what included in article of incorporation !!

Or if you have them or know them post them here please.

As far as BEC goes, they moved all of the business formation stuff to REG in 2011. Therefore, you will probably need to know that for REG. Since I am studying for REG I will go ahead and tell you the differences.

Article of Incorporation:

-Filed in State of incorporation

-Name of corporation

-Names and addresses of the registered agent and the incorporators

-Number of shares authorized to be issued

-May include an Ultra Vires clause which is basically states the purpose of the business. Some states require this and some do not

-Article of Incorporation cannot be changed without shareholder approval

Bylaws:

-Contain the rules for running the company

-Adopted by the Board of Directors and can be changed without shareholder approval by the Board

BEC - Feb 2012: 80
AUD - Feb 2012: 84
FAR - Apr 2012: 78
REG - May 2012: 90

Actully i have tested BEC twice and they asked me in the both exams a question or two about this.

So i just wanna know about it just in case !!
