OK, here it goes…My CFO in CA has let his license go inactive but still uses “CPA” in his email signature, business cards, and company website. In CA you are supposed to use “CPA Inactive” if your license has lapsed.

What obligation do I have to report this and how serious is this? What would you guys do in my situation?

Whenever you are in a company which the CFO also happens to be the HR, then it means the founder probably have a great deal of trust or known this personal for quite sometimes. I am not sure if your company has VC but if your company did, then it's very likely they are aware or will find out about your CFO's bs soon enough.

I honestly doubt CBA will do much as he is not out signing audits or doing an IPO soon to harm the public. They will tell you to bring it your management.

As many have mentioned above, this will do you more harm than goods. If you plan to bring your CFO down and replace him, I suggest you find something which related to financial fraud that would severely impact the company operation and material enough. Look up the whistle blower policy in your company, and document everything if you were ever going to attempt anything.

Also pay attention to the people who you have been discussing this “issue” with, because a little gossip might turn into a digger that's going to stab you in the back to get on the good side with the CFO or to use you as a tool to fan the flames. Lastly, does your CEO or founder value this kind of behavior? If they were in with the CFO in doing unethical things, ain't they going to be afraid that you will rat them out next?

@NeedsA75: It seems to me that you should be looking for other employment if you believe you would be terminated for addressing it with the CFO, which would normally be the right thing to do. Even if the board would not punish you for reporting it, you still don't want to work in an environment like that. It also seems that if you would be punished for not reporting it, you should have some type of legal recourse or protection. If there's no punishment, I would suggest not telling anyone and start immediately looking for other work. The moment you're out of there, do as you wish.

NeedsA75 – you sound like a peach to work with.

Chill out and let it be. Mind your own business and get off the high horse. There could be several reasons why things are as they are and yet you are poking your nose in it. If it irks you so much man up and speak to the individual directly about it. Otherwise leave it alone.

Yesterday, another member of the accounting staff had a heated closed door meeting with the CFO and apparently they called him out for acting unethically in this regard. They were fired on the spot and are no longer with the company. You can't make this stuff up…..Now compliance has caught wind of everything and are looking into it..

Interesting how judgmental some people are being for doing a little bit of due diligence

TommyTheCat, you sound like a pussy, pun intended.

@NeedsA75, Should tell that member to get an attorney asap. He will be rewarded handsomely if he was fired for calling your CFO out especially for the fact that he was stating the truth.

@NeedsA75 – “they called him out for acting unethically in this regard.” Him as in the accounting staff? and who are “they”?

Can I ask how long you've had misgivings about things that go on there? Realize the topic of this thread is a fairly recent development but seems clear you're not shocked by this behavior.

NeedsA75 – stay classy. Quite the contrary, I don't have my undergarments all bunched up like you appear to. You sure do sound pretty tough throwing out insults from behind your keyboard tho, bravo.

I know your type from the tone of your posts and bet you take yourself way too seriously. As I said before you must be a peach to work with.

Go step outside and get a breath of fresh air and relax and enjoy something else besides being up everyone else's A at your place of business.
