@jenuno01 – I'm taking both in one day in an attempt to not lose credit for BEC which expires 4/4. I know you couldn't tell it by looking at my REG scores but BEC was my nightmare child mostly because I never really knew why I wasn't passing. My scores were all over the place and the topics were things that I absolutely hated. Econ has never been and will never be my strong suit. Even though I have more attempts at REG I know I didn't pass because I didn't do the work. There was always something that I didn't study enough and it always came back to bite me. This time it's different. I will say this for studying for two exams at one time, I think I understand the information in FAR and REG better because they are related. I don't think studying for BEC and AUD at the same time would be possible. Those two topics are so far apart from one another.

Kricket – quick REG question. under reg d general soliciation is not allowed under 505 and 506. my wiley says it is allowed under 504, but on the sec website under reg d is says it generally isn't allowed (consistent with becker). also finding conflicting answers in wiley. please help!!

@Tina82 – When I used Roger CPA Review I took an unbelievable amount of notes. I pretty much typed what Roger said word for word. (I was a secretary for 20 years so I can type as fast as some people can talk!) I typed “Reg D – Private placement – Rules 504, 505,and 506 – Notify SEC within 15 days of first sale – No Advertising” If the SEC website says “generally isn't allowed” then there must be an exemption that we don't know about so I'm going with no advertising if I get a question about it. Just my .02 worth.

Thanks Kricket! Also I thought all three are restricted for two years after sale, but see below (same issue as with ads). Anyhow, the isse I encountered was only one question and it asked which of the following are true for 504, 5, and 6 (ads prohibited was not true for all).

Below is an explanation from Wiley (only the 504 piece), just fyi:

Rule 504 exempts an issuance of securities up to $1,000,000 sold in twelve-month period to any number of investors (this is also known as seed capital exemption)

(a) General offering and solicitations are permitted under Rule 504

(b) Issuer need not restrict purchasers’ right to resell securities

(c) No specific disclosure is required

(d) Must send notice of offering to SEC within fifteen days of first sale of securities

I have AUD on Wednesday (April 4th). I got a 73 on it before. I switched to Yaeger this time. I'm feeling fairly confident about it. I'm scoring in the 80's on all my practice questions. I have done EVERY MC in the Wiley book at least 3 times (or more), and I have re-written my notes a couple of times. I also do 40-quesiton quizzes on the Wiley-Online test bank each day. With the help of God I will score high on this one!

I am taking reg on 4/7.

Regarding Reg D, section 504: Advertising is allowed if all investors are accredited investors (banks, insurance companies, millionaires, etc.)

I know something… That is a good sign

We take REG on the same day! I'm actually looking forward to taking the exam. After stressing out the week before and an initial freak-out before walking into the test center I actually feel relieved when taking the test – nothing to do anymore just do the best I can and hope to pass 🙂 Then the dreaded wait for scores…
