    That's a really broad question, but it boils down to 1933 = IPO, 1934 = Subsequent exchanges.

    Also good to keep in mind:

    It is much easier to sue a CPA under the 1933 Act (just need to suffer a loss after buying a security) than it is under the 1934 Act (lots of restrictions).

    The main difference is what juustin said above – 1933 governs initial offerings and 1934 governs subsequent offerings.

    But, of course, there are more.
