S-Corp REG Question *picture*

    Can anyone explain to me in this question why D cannot be a correct answer also?

    D is not greater than 50%.

    20k/50k = 40%

    S Corps can issue ONE class of stock. That one class can be BOTH voting and NON-voting. It still counts as one class. As long as more than 25,000 shares are revoked, S Corp status can be terminated – regardless the voting class.

    Nah, I did the same thing, bro.

    I was sitting there for a while thinking “wtf” to myself when doing S-Corps. Keep it up!
