    how do you guys keep the requirements of the 1933 and the 1934 act separate? i keep getting them confused lol

    I hit that Pate question in my review course so here is the explanation behind it.

    The sale of securities under Rule 505 of Regulation D are exempt if (1) total sales are $5 million or less in any twelve consecutive month period, (2) no general solicitation is used, (3) re-sales are restricted for a minimum of 2 years, (4) sales to non-accredited investors is limited to 35 such investors, and (5) non-accredited investors are given financial statements of the issuer.

    I did my REG retake this morning. This might sound crazy so I would be very interested to see if anyone else has experienced this, but I did not get a SINGLE tax form in my simulations! Not a one! Has anyone else on here had that happen?

    FAR - 84 (May 2014)
    BEC - 78 (Oct 2014)
    REG - 72 (Aug 2014), 76 (Nov 2014) DONE!!!!

    Knowing a tax form is kind of useless anyway because it is always at your disposal in the real world. knowing what goes into it is the tough part so they can test the material without having an actual form

    Pia, from yesterday's question, shareholders are NOT responsible for the debts of the corporation. So when the corporation borrowed that loan, it didn't increase the shareholder's basis.

    Took my exam yesterday. First things first: Know how to navigate the IRC and the sims are NOT bad. Try to go in without practicing the IRC (like I did) and you will not have a fun time. As far as the MCQs go, I'd say they are very fair. I can't recall a single question where I had to refer to a phase-out based on memory. It all comes down to knowing WHEN to apply or include information, not so much the exact number if “x happens, but y also happens, and it's raining outside, on the 3rd Tuesday of the month.”

    Thanks @cpahopeful1 i finally got a hang of the basis for scorp and corp…but partnership still drives me crazy! I postponed my exam to dec 1st week, so got few more days to just drill on my weak topics..which i think is everything besides ethics,

    Finally done!!! Experience-pending. Ethics- Pending.

    Wait, you could postpone the exam to December now? I thought they weren't going to allow any tests for December?

    Thanks for this and I just postponed my test for the 5th. I definitely need more time and am glad you brought this up.

    Wait, shouldn't this be Rule 505 and not 506?
