    yeah for liquidations, partners “zero-out to get out”–unless they receive more cash than their basis, cuz they can't really “zero-out” extra cash i guess

    So. Distributions of property by a corporation.

    1) FMV less any debt is eligible for dividend treatment
    2) Distribution causes the company to recognize gain like a sale
    3) if the property has a liability greater than the FMV, it is treated as if the liability amount were the FMV at the time of sale
    4) basis of property to the person is FMV
