I am getting really tired of this ‘dissolved automatically' thing. Roger people just told me UPA is no longer used and the partnership doesn't dissolve automatically when partner dies.
“Similarly, under Section 801(2)(i), the death of any partner will result in
the dissolution of a term partnership, ONLY if at least half of the remaining partners
express their will to wind up the partnership's business. If dissolution does occur,
the deceased partner’s transferable interest in the partnership passes to his estate
and must be bought out under Article 7. See Comment 8 to Section 601.” https://www.uniformlaws.org/shared/docs/partnership/upa_final_97.pdf
Unless otherwise provided in a general partnership agreement, which of the following statements is correct when a partner dies?
A. The deceased partner's executor would automatically become a partner, the deceased partner's estate would be free from any partnership liabilities, and the partnership would be dissolved automatically.
B. The deceased partner's executor would automatically become a partner.
C. The deceased partner's estate would be free from any partnership liabilities.
Correct D. The partnership would be dissolved automatically.
