For what it's worth, I NEVER saw a question with the I. Text here II Test Here. A. I only. B. II only. C. Both I and II. D. Neither 1 nor II on the exam. Over all 4 parts not once did I get a question like that.

I think Review courses just use those questions to really test your knowledge on concepts.

Bond fraudulently induced Teal to make a note payable to Wilk, to whom Bond was indebted. Bond delivered the note to Wilk. Wilk negotiated the instrument to Monk, who purchased it with knowledge of the fraud and after it was overdue. If Wilk qualifies as a holder in due course, which of the following statements is correct?

A.Monk has the standing of a holder in due course through Wilk.

B.Teal can successfully assert the defense of fraud in the inducement against Monk.

C.Monk personally qualifies as a holder in due course.

D.Teal can successfully assert the defense of fraud in the inducement against Wilk.

Correct answer is : A. Why A is correct ? Since Monk knew it was overdue , why it still meet the requirement of HDC ?

I believe without notice of defect is one the the elements. Am I wrong ?

    Thanks

fraud in the inducement is personal defense and Monk is HDC through Wilk and take the note free from any personal defense.

I am getting really tired of this ‘dissolved automatically' thing. Roger people just told me UPA is no longer used and the partnership doesn't dissolve automatically when partner dies.

“Similarly, under Section 801(2)(i), the death of any partner will result in

the dissolution of a term partnership, ONLY if at least half of the remaining partners

express their will to wind up the partnership's business. If dissolution does occur,

the deceased partner’s transferable interest in the partnership passes to his estate

and must be bought out under Article 7. See Comment 8 to Section 601.” https://www.uniformlaws.org/shared/docs/partnership/upa_final_97.pdf

Unless otherwise provided in a general partnership agreement, which of the following statements is correct when a partner dies?

    A. The deceased partner's executor would automatically become a partner, the deceased partner's estate would be free from any partnership liabilities, and the partnership would be dissolved automatically.

    B. The deceased partner's executor would automatically become a partner.

    C. The deceased partner's estate would be free from any partnership liabilities.

Correct D. The partnership would be dissolved automatically.

I got REG 74 last time one of the reasons was I didn't study the regulation part. It got between 8% to 10%. It is better to study you never know.

@no one if you read my exam experience in the appropriate thread I share my test day experience. My particular test was like 99% chapters 1-5 sorry! Of course, it's very likely your experience will be different.

@cpa8488 When I say regulation, I meant like federal securities law 1933, 1934, CPAs responsibilities and staff like that not Taxation.
