    Answer should be B, because first they take the highest percentage rate for gain and net it against and loss

Huff purchased 500 of the offered shares. Huff has brought an action against Ward under Section 11 of the Securities Act of 1933 for losses resulting from misstatements of facts in the financial statements included in the registration statement.

    Ward’s weakest defense would be that

    Huff’s losses were not caused by the misstatements.

    Ward was not in privity of contract with Huff.

    Ward conducted the audit in accordance with GAAS.

    Huff knew of the misstatements when Huff purchased the stock.

    Just finished rewriting all my notes and 2013 tax changes. One last practice exam in the morning, then its off to test. I sure hope I can remember everything while under pressure!!

    Awesome Skier, i hope the exam goes well for you tomorrow and Thank you so much for all your help! Sad i can't sit the exam tomorrow with you but Sat 19th I will be facing that dread screen doing the REG exam.

    I just hope i can remember everything.. as i am doing the practice tests i noticed I “forgotten” some of the rules…. 🙁

    Thank you IY…as you could see earlier, there are some points I have forgotten as well. I am finding that I am getting some things mixed up. Time to call it a night and start with a clear mind in the morning.

    IY….Answer should be B. right? Ward was not in privity of contract with Huff.

    Because under 1933 Act, Privity doesn't have to be there
