I am struggling understanding the answer 100%. Its one of those two column Yes / No all variety type.

The CORRECT answer per the computer was A – “YES YES”.

I was leaning more towards NO YES simply because I thought it was tender offers over 5% and not ANY party as stated in the question and thus should have been No….

Am I over thinking this?

i got tripped up on this yesterday. The reason i was getting tripped up is because i thought the party making the tender offer had to report it, not the corporation that is the offeree.

I dont know the 5% tripped you up, maybe you were thinking that the corp needs to report any 5% owners. or any officer with 10% ownership
