Who Prepares Mgt Rep Letter?

From what I understand the management rep letter is addressed to the external auditors and signed by the CEO or management of the company. But does the auditor prepare the report and the management just signs it?

Yes the auditors prepare it and if we have any deficiencies or material weaknesses, we report that too on the management rep letter.

You are correct about CEO/ CFO signing it…
