I was reading about Direct financial and material indirect financial interest in the client on AICPA. Both seems the same to me. Can anyone explain.

The SEC rules also prohibit the firm and covered persons and their immediate family
members from having any financial interest in an entity (even one that is not a client) that is part of an investment company complex that includes an SEC audit client.
