Dear all,

Does anyone have any actual work experience on completing Form 10-K for domestic US companies listed publicly, as well as Form 20-F for international companies listed in the States?

My question is, who should be filing the Form 10-K or 20-F for the corporations in general? Does the external auditor do the filings, or the lawyers should be doing it? Or maybe it is the management’s responsibilities to complete the forms?

Also, can someone briefly walk me through the general steps on completing Form 10-K please? Like how do I actually do it according to the form requirements?

Management is responsible for the contents and the submission of the financial statements.

Was kind of wondering the same as acamp, because if a company asked you to prepare their 10-k, you've never done it before and are relying on the guidance of a message board to complete it, run far far away from that company ASAP.

Usually its an employee of the company that prepares it but that employee has EXTENSIVE experience in reporting.

Management is responsible for compiling the 10Q and 10Ks. Depending on the size of your company, data for the required disclosures usually comes from different departments in your company. The financial reporting team compiles the data and reviews it for accuracy and to ensure the 10Q/K is compliant with SEC requirements.

The external auditors will conduct a review of the 10Q and full blown audit of the 10K.

In terms of actually filing the document, many companies use third party programs like Web Filings. We're still a bit old school and use RR Donnelly to file our 10-Q/K with the SEC. You also have to tag (XBRL) your Footnotes in forms 10Q/K, which Donnelley helps out with.

Does the management hire lawyers to work on the notes disclosures?

Because you have to be very careful with the wordings in order to avoid confusions or potential lawsuits from the investors, right?
